Terms of Service

Effective June 4, 2026

These Terms of Service ("Terms") govern your access to and use of QOPR ("Service"), operated by QOPR ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

QOPR is a software-as-a-service platform for requirements traceability and documentation management for regulated products. Access is provided on a subscription basis and requires a valid account.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at contact@qopr.com if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

4. Subscriptions and Billing

QOPR subscriptions are billed on a recurring basis. Payments are processed by Paddle, our authorized reseller and Merchant of Record. By subscribing, you agree to Paddle's terms and authorize recurring charges to your payment method.

Free Trial: New accounts receive a 10-day free trial. No charge is made during the trial period. After the trial ends, your subscription begins automatically unless you cancel before the trial expires.

We reserve the right to change subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You retain access to the Service through the end of the paid period. We do not provide refunds for unused time — see our Refund Policy for details.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Upload or transmit malicious code, viruses, or any content that could harm the Service or other users
  • Resell, sublicense, or otherwise transfer access to the Service without our written consent
  • Use the Service to store or process regulated health information (PHI/HIPAA) unless we have executed a separate BAA with you

7. Your Data

You retain ownership of all data, documents, and content you submit to the Service ("Your Data"). By submitting Your Data, you grant us a limited, non-exclusive license to store and process it solely to provide the Service. We do not claim ownership of Your Data and will not use it for any other purpose without your consent.

You are solely responsible for ensuring Your Data is accurate, complete, and compliant with applicable laws and regulatory requirements. We do not provide regulatory or legal advice.

8. Intellectual Property

The Service, including its design, software, trademarks, and content (excluding Your Data), is owned by QOPR and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

QOPR IS A DOCUMENTATION TOOL. IT DOES NOT GUARANTEE REGULATORY APPROVAL, COMPLIANCE, OR CERTIFICATION OF YOUR PRODUCT. YOU ARE SOLELY RESPONSIBLE FOR MEETING ALL APPLICABLE REGULATORY REQUIREMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QOPR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to indemnify and hold harmless QOPR and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export Your Data prior to termination. We are not liable for any loss resulting from termination in accordance with these Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

Data & Privacy

Privacy Policy

This Privacy Policy explains how QOPR ("we," "us," or "our") collects, uses, and shares information about you when you visit our website or use our Service. By using QOPR, you agree to the practices described in this policy.

1. Information We Collect

Account information. When you create an account, we collect your name, email address, and a hashed password. If you belong to an organization account, we may also collect your company name and role.

Usage and analytics data. We collect information about how you interact with the Service, including pages visited, features used, session duration, and actions taken. This data is used to improve the product and understand how users work.

Payment information. Payments are processed by Paddle. We do not store your full payment card details. Paddle may collect and store billing information in accordance with their own privacy policy.

Communications. If you contact us or sign up for our mailing list, we collect your email address and any information you provide in your message.

Cookies and tracking technologies. We use cookies and similar technologies for session management, analytics, and marketing. See Section 5 for more detail.

2. How We Use Your Information

We use the information we collect to:

  • Provide, maintain, and improve the Service
  • Process subscriptions and communicate with you about your account
  • Send product updates, feature announcements, and marketing emails (you can opt out at any time)
  • Analyze usage patterns to improve the user experience
  • Comply with legal obligations and enforce our Terms of Service
  • Detect and prevent fraud, abuse, or security incidents

3. How We Share Your Information

We do not sell your personal information. We may share information with:

  • Service providers. Third parties that help us operate the Service (e.g., cloud hosting, analytics, email delivery). These providers are contractually required to protect your data and may only use it to provide services to us.
  • Paddle. Our payment processor and Merchant of Record. Paddle's use of your data is governed by Paddle's Privacy Policy.
  • Legal requirements. If required by law, court order, or to protect the rights, safety, or property of QOPR or others.
  • Business transfers. In connection with a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction.

4. Data Retention

We retain your account information and Your Data for as long as your account is active and for a reasonable period afterward to allow you to reactivate your account or resolve disputes. You may request deletion of your account and associated data at any time by emailing contact@qopr.com. Some data may be retained longer where required by law.

5. Cookies and Tracking

We use the following types of cookies and tracking technologies:

  • Essential cookies. Required for the Service to function (e.g., authentication, session management). These cannot be disabled.
  • Analytics cookies. Used to understand how visitors interact with our website and app (e.g., page views, session data). You may opt out by adjusting your browser settings or using opt-out tools provided by our analytics providers.
  • Marketing cookies and pixels. Used to deliver relevant advertisements and measure the effectiveness of marketing campaigns. You may opt out of interest-based advertising through your browser settings or industry opt-out tools such as optout.aboutads.info.

Most browsers allow you to control cookies through their settings. Disabling certain cookies may affect Service functionality.

6. Data Security

We implement industry-standard security measures to protect your information from unauthorized access, alteration, or disclosure. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

7. Children's Privacy

The Service is not directed to individuals under 18 years of age. We do not knowingly collect personal information from minors. If we become aware that we have collected information from a minor, we will take steps to delete it promptly.

8. International Users

QOPR is operated from the United States. If you access the Service from outside the U.S., your information may be transferred to and processed in the U.S., where data protection laws may differ from those in your jurisdiction. By using the Service, you consent to this transfer.

9. Your Choices

You may update or correct your account information at any time through your account settings. To unsubscribe from marketing emails, click the unsubscribe link in any marketing email or contact us at contact@qopr.com. To request access to, correction of, or deletion of your personal data, contact us at the same address.

10. Changes to This Policy

We may update this Privacy Policy periodically. We will notify you of material changes by email or in-app notice. Continued use of the Service after the effective date constitutes acceptance of the updated policy.

Billing

Refund Policy

Effective June 4, 2026

This Refund Policy explains how QOPR handles subscription payments, cancellations, and refund requests.

Free Trial

All new accounts include a 10-day free trial. You will not be charged during the trial period. We encourage you to fully explore the Service during this time before committing to a paid subscription.

No credit card is required to start a trial. If you cancel before the trial ends, you will not be charged.

No-Refund Policy

All subscription payments are final and non-refundable. Because the Service provides immediate access to a full-featured platform — and because we offer a 10-day free trial specifically for evaluation — we do not issue refunds for subscription fees after a billing period has begun.

This applies to:

  • Monthly subscription charges
  • Situations where the Service was not actively used during a billing period
  • Accidental renewals where notice was not provided before the billing date

Cancellations

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — you retain full access to the Service through the end of the period you have paid for. Your account will not be renewed or charged after cancellation takes effect.

Exceptional Circumstances

We evaluate refund requests on a case-by-case basis in situations involving documented billing errors or duplicate charges. If you believe you have been charged in error, contact us within 30 days of the charge at contact@qopr.com with your account details and a description of the issue.

Refunds issued under these circumstances are at our sole discretion and do not create an obligation to issue future refunds.

Payment Processing

All payments are processed by Paddle, our Merchant of Record. Paddle handles payment collection, receipts, and tax compliance on our behalf. If you have a billing dispute that cannot be resolved directly with us, you may contact Paddle support at paddle.com/support.
